Terms of Service

1. Overview

These Terms of Service (“Terms”) govern the relationship between Infynt (“we”, “us”, “our”), a web design and development agency based in Palmerston North, New Zealand, and any individual or business (“Client”, “you”) that engages our services or purchases from our shop.

By engaging our services or completing a purchase, you agree to be bound by these Terms. If you do not agree, please do not proceed.

2. Services

Infynt provides web design, web development, and related digital services. The specific scope of work, deliverables, timeline, and fees for each project are agreed upon in a separate written proposal or purchase confirmation before work begins.

We reserve the right to decline any project at our discretion without obligation to provide a reason.

3. Quotes and Pricing

All prices are quoted in New Zealand Dollars (NZD) and are exclusive of GST unless otherwise stated. GST (currently 15%) will be added to invoices for New Zealand-based clients.

Quotes are valid for 30 days from the date of issue. Any additional work outside the agreed scope will be quoted separately and requires written approval before proceeding.

4. Payment Terms

  • A 50% deposit is required before work commences on custom projects.
  • The remaining balance is due upon project completion, prior to the final handover of files or go-live.
  • Shop purchases are paid in full at the time of order.
  • Invoices not paid within 14 days of the due date may incur a late payment fee of 2% per month on the outstanding balance.
  • We accept payment via bank transfer and credit card through our secure payment provider.

5. Intellectual Property

Upon receipt of full payment, the Client receives full ownership of the final website design and custom code developed specifically for their project.

We retain the right to use the completed project in our portfolio and marketing materials unless the Client requests otherwise in writing before project commencement.

Any third-party assets (fonts, stock images, plugins, frameworks) remain subject to their respective licences. It is the Client’s responsibility to ensure ongoing licence compliance for such assets.

6. Client Responsibilities

The Client agrees to:

  • Provide all required content (text, images, branding) in a timely manner;
  • Designate a single point of contact with authority to approve decisions;
  • Provide timely feedback at agreed review stages;
  • Ensure all content supplied does not infringe third-party rights.

Delays caused by the Client may result in revised timelines and, where significant, may incur additional charges.

7. Revisions and Change Requests

Each project includes a defined number of revision rounds as specified in the project proposal. Revisions beyond that scope will be charged at our standard hourly rate, notified to you in advance.

8. Warranties and Limitation of Liability

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

To the extent permitted by law, our liability for any claim arising from our services is limited to the total fees paid by the Client for the specific project giving rise to the claim. We are not liable for indirect, consequential, or special damages.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under New Zealand law including the Consumer Guarantees Act 1993 (where applicable).

9. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of the project and not to disclose it to third parties without prior written consent, except as required by law.

10. Termination

Either party may terminate the engagement with 14 days’ written notice. In the event of termination, the Client is responsible for payment of all work completed to the date of termination. The deposit is non-refundable once work has commenced.

11. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

12. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at this URL. Changes do not affect projects already under a signed agreement.
